This is an agreement between you ("You" / "User") and Kllydsa Lifestyle Private Limited, the company behind the Truegrade brand (hereinafter referred to as "Truegrade"). These Terms of Use ("Terms") govern your access to and use of www.thetruegrade.com ("Website").

By accessing and/or using the Website, You agree to be bound by these Terms. Truegrade may update these Terms from time to time without prior notice. 4.1  All intellectual property displayed on the Website — including but not limited to the Truegrade logo, trademarks, symbols, artwork, product names, formulation descriptions, and written content (collectively "Intellectual Property") — belongs to Kllydsa Lifestyle Private Limited and/or its affiliates.

4.2  No content or Intellectual Property on the Website may be copied, downloaded, reproduced, reposted, transmitted, displayed, distributed, sublicensed, altered, stored, or otherwise used — in whole or in part — without the prior written consent of Truegrade.

8. CONSENT TO ELECTRONIC FORM OF TERMS OF USE

8.1  The User acknowledges and consents to the electronic form of these Terms by accessing the Website. The User agrees that these Terms, whether in printed or electronic form, shall be admissible in judicial and/or arbitration proceedings to the same extent and subject to the same conditions as documents generated and maintained in written form.

8.2  If the User does not agree to these Terms, they should not access or use the Website.

 

9. WAIVER

No delay or omission by Truegrade in exercising any right arising from a User's non-compliance with these Terms shall impair such right or be construed as a waiver. A waiver by Truegrade of any breach shall not be construed as a waiver of any subsequent breach or of any other term of these Terms.

The User acknowledges that product recommendations made by Truegrade — including those generated using artificial intelligence tools such as the AI Skin Analysis feature — may not be fully accurate or suited to every individual. Users are advised to consult a qualified dermatologist before using any product recommended on the Website. The User waives any right to pursue remedies against Truegrade for product recommendations generated through artificial intelligence.

 

10. SURVIVAL

The provisions of these Terms dealing with intellectual property, compliance with applicable laws, user consent, links to third parties, and dispute resolution shall survive the termination or expiry of any relationship between the User and Truegrade.

 

11. LIMITATION OF LIABILITY

11.1  Truegrade shall not be held liable for any losses whatsoever arising from the use of, or inability to use, the Website or any of its features, for any reason — including but not limited to: delay, failure, or disruption of content or services delivered through the Website; acts of God; Internet or system failures; changes to or termination of any features on the Website; telecommunications or equipment failures; electrical power failures; strikes; labour disputes; riots; insurrections; civil disturbances; shortages of labour or materials; fires; floods; storms; explosions; natural disasters; war; governmental actions; or orders of domestic or foreign courts or tribunals.

 

12. INDEMNIFICATION

The User agrees to indemnify and hold harmless Kllydsa Lifestyle Private Limited and its officers, directors, employees, and agents from and against any and all losses, claims, liabilities, damages, and costs (including legal fees) arising from: (a) their use of the Website; (b) the display of User information on the Website; or (c) any breach by the User of these Terms or the policies referred to in Clause 6.

 

13. TERMINATION

13.1  Truegrade reserves the right to terminate your access to the Website, or to certain areas or features of the Website, at any time, with or without notice and without assigning any reason.

13.2  Truegrade reserves the right to take down, modify, or discontinue the Website at any time without prior notice. Truegrade further reserves the right to limit, deny, or provide different features to different Users and to introduce new features or modify existing features without prior notice.

13.3  Truegrade reserves the right to suspend or permanently terminate the account of any User for any of the following reasons:

•       Engagement in illegal activities or transactions;

•       Breach of any provision of these Terms, including but not limited to Clause 3.1;

•       Unauthorised access to, use of, modification of, or interference with the Website database, network or related services;

•       Any unauthorised creation, generation, modification, hosting, display, upload, publication, transmission, storage, sharing or dissemination of synthetically generated information ("SGI") as defined under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, where such conduct is in contravention of any applicable law — including but not limited to the Information Technology Act, 2000, the Bharatiya Nyaya Sanhita, 2023, the Protection of Children from Sexual Offences Act, 2012, and the Indecent Representation of Women (Prohibition) Act, 1986.

 

14. DISPUTE RESOLUTION

Any dispute or difference arising out of or in relation to these Terms, or the use of the Website, shall be governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of the appropriate courts in India.
